Acceptance of Terms

Please read these Terms carefully before using our website or engaging our services. By accessing spsis.in or entering into a service agreement with SPS Integrated Services, you confirm that you have read, understood, and agreed to be bound by these Terms of Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client" or "User") and SPS Integrated Services ("SPS", "we", "our", or "the Company"), a company registered in India.

If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity. If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, clients, and users of our website and services, including any future updates or additions to the services.

About SPS Integrated Services

SPS Integrated Services is an Indian company providing comprehensive integrated facility management and support services to corporate, industrial, institutional, and residential clients across India.

Our registered office is located at 123, Business Park, Andheri East, Mumbai – 400093, Maharashtra, India. We operate in compliance with all applicable Indian laws including the Contract Labour (Regulation and Abolition) Act, 1970, PSARA, and other relevant legislation.

SPS is an ISO 9001:2015 certified organisation committed to delivering consistent quality across all our service lines. All our security personnel are licensed under applicable state regulations.

Services Offered

SPS Integrated Services provides the following categories of services, subject to separate service agreements:

  • Security Services: Armed and unarmed security guards, CCTV monitoring, access control management, event security, and corporate security solutions
  • Housekeeping Services: Daily cleaning, deep sanitisation, waste management, and facility hygiene maintenance for commercial and industrial premises
  • Manpower Supply: Skilled, semi-skilled, and unskilled workforce supply under contract labour arrangements across industries
  • Facility Management: End-to-end facility operations including MEP maintenance, AMC contracts, and building management
  • Fire & Safety: Fire system installation, maintenance, safety audits, and compliance management
  • Logistics & Pantry Services: Office pantry management, cafeteria services, and internal logistics support

The specific scope, deliverables, service levels, and pricing for each engagement are defined in individual Service Level Agreements (SLAs) or Master Service Agreements (MSAs) executed between SPS and the Client.

Service Agreements & Engagement

Enquiries submitted through our website constitute an expression of interest and do not form a binding service agreement. A formal contractual relationship is established only upon execution of a written Service Agreement signed by authorised representatives of both parties.

SPS Commits To:

  • Provide trained, verified personnel
  • Maintain agreed service levels
  • Handle all statutory compliances
  • Provide regular performance reports
  • Assign a dedicated account manager
  • Respond to issues within agreed SLA timelines

Client Commits To:

  • Provide safe working conditions
  • Make timely payments as agreed
  • Provide necessary site access
  • Communicate requirements clearly
  • Not to directly employ deployed staff
  • Not to solicit SPS employees during or after contract

Any changes to the agreed scope of work must be documented and mutually agreed upon in writing before implementation.

Client Obligations & Responsibilities

As a Client of SPS Integrated Services, you agree to the following obligations:

  1. Safe Working Environment: Ensure that SPS-deployed personnel are provided a safe, hazard-free working environment compliant with applicable health and safety regulations
  2. Accurate Information: Provide accurate and complete information regarding your facility, headcount requirements, and operational needs at all times
  3. Non-Solicitation: Not directly recruit, hire, or engage any SPS-deployed employee during the contract period or for 12 months following contract termination
  4. Authorised Instructions: Ensure that instructions given to deployed staff are within the scope of agreed services and do not violate any law
  5. Site Access: Provide necessary access, infrastructure, and facilities required for SPS personnel to deliver the contracted services
  6. Notification of Issues: Promptly inform SPS of any concerns, incidents, or changes in requirements through designated communication channels
  7. Compliance: Ensure your premises comply with all applicable laws, and that SPS is not required to engage in any unlawful activities

Payment Terms & Invoicing

All financial arrangements are governed by the individual service agreement. General payment terms applicable to all engagements include:

  • Invoices are raised monthly in advance or as per the agreed billing cycle
  • Standard payment due date is 15 days from the date of invoice unless otherwise agreed in writing
  • Late payments beyond the due date attract interest at 18% per annum (1.5% per month) on the outstanding amount
  • SPS reserves the right to suspend services after 30 days of non-payment following written notice
  • All prices are exclusive of applicable GST, which will be charged additionally as per prevailing rates
  • Any billing disputes must be raised within 7 days of invoice receipt; undisputed amounts remain payable on time
  • Security deposits, if any, will be refunded within 30 days of contract expiry, after deducting any outstanding dues
Important: Failure to make payments within agreed timelines may result in suspension of services without further notice, and SPS shall not be liable for any business disruption arising from such suspension.

Intellectual Property

All content, design, logos, trademarks, service marks, text, graphics, and other materials on the SPS Integrated Services website (spsis.in) are the exclusive property of SPS Integrated Services or its content suppliers and are protected under applicable Indian intellectual property laws.

  • You may not reproduce, copy, republish, upload, transmit, or distribute any content from our website without prior written permission from SPS
  • The SPS logo and brand name are registered trademarks and may not be used without written authorisation
  • Any proposals, presentations, or service designs provided to you remain the intellectual property of SPS until a formal agreement is executed
  • Nothing in these Terms grants you any licence to use our intellectual property beyond viewing the website for legitimate business purposes

Limitation of Liability & Disclaimer

Disclaimer: Our website and its content are provided on an "as is" basis. While we strive for accuracy, SPS makes no warranties, express or implied, regarding the completeness, accuracy, or fitness for a particular purpose of any website content.

To the maximum extent permitted under applicable Indian law, SPS Integrated Services shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from the use of our website or services
  • Business interruption, loss of profits, or loss of data arising from service delays outside our reasonable control
  • Actions of Force Majeure including natural disasters, pandemics, government orders, civil unrest, or other unforeseeable events
  • Third-party website content accessible via links on our website — we are not responsible for their privacy practices or content
  • Any damage arising from unauthorised access to our systems despite reasonable security measures

SPS's total liability under any service agreement shall not exceed the total fees paid by the Client in the 3 months immediately preceding the event giving rise to the claim, unless otherwise agreed in writing.

Termination of Services

Either party may terminate a service agreement under the following conditions:

  • Mutual Agreement: Both parties may agree to terminate the contract at any time through written mutual consent
  • With Notice: Either party may terminate with a minimum of 30 days' written notice (unless a different notice period is specified in the service agreement)
  • Immediate Termination by SPS: SPS reserves the right to terminate immediately in cases of non-payment beyond 30 days, breach of client obligations, or conduct that endangers our personnel
  • Immediate Termination by Client: Clients may terminate immediately in the event of material breach by SPS that is not remedied within 14 days of written notice

Upon termination, all outstanding dues become immediately payable. Security deposits will be refunded within 30 days after deducting any outstanding amounts. Any proprietary information shared during the engagement must be returned or destroyed by both parties.

Termination does not affect any rights, obligations, or liabilities accrued before the termination date.

Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any service agreement with SPS, the parties agree to:

  1. Negotiation (30 days): First attempt to resolve the dispute through good-faith negotiations between senior representatives of both parties
  2. Mediation (30 days): If negotiation fails, submit to mediation under the Mediation and Conciliation Rules administered by a mutually agreed mediator
  3. Arbitration: If mediation fails, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra

The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any matters that cannot be resolved through the above process. The language of all proceedings shall be English.
